THIS MEMBERSHIP AGREEMENT IS INTENDED ONLY FOR INSTITUTIONS OF HIGHER EDUCATION. STUDENTS, PROFESSORS OR EMPLOYEES OF SUCH INSTITUTIONS MAY SUPPORT THE INITIATIVE VIA AFFILIATE MEMBERSHIP, ASSOCIATE MEMBERSHIP OR INDIVIDUAL PLEDGE.

By the signature of its authorized representative
below, Applicant agrees to be
bound by the terms hereof as well as the
terms and conditions stated in the Articles
of Incorporation and Bylaws ("Organizational
Documents") of the Climate Savers
Computing Initiative ("the Initiative")
as may apply to Affiliate Members set forth in
the Organizational Documents, copies of
which are available for review at /program/legal.html.
Except as otherwise defined
herein, all capitalized terms shall have
the meanings given to them in the Bylaws.
The parties acknowledge
that the benefits and obligations of the
parties hereto constitute good and valuable
consideration for this Agreement.
The term of Membership shall be one year. Note
that for Membership for Affiliate Members
automatically renews unless affirmatively
canceled by the Affiliate Member. Applicant may cancel renewal or terminate its membership by providing written notice of cancellation or termination to the Initiative at the address below or as otherwise provided in the Bylaws.
Subject to the limitations contained herein, Applicant commits to using and encouraging the use of power-management tools per the Program Criteria (as defined in the Bylaws) on its personal computers. In Addition, subject to the limitations contained herein, the Member specifically commits to the following:
The applicant, a college or university, commits to requiring high-efficiency systems for a majority of its personal computer and volume server computer purchases as set forth in the Program Criteria, and also encouraging and educating students, faculty and staff concerning the use of power-management tools on their personal computers per the Program Criteria.
Affiliate
Level Members may copy and use the Initiative’s
name and logo (a copy of which logo may be
downloaded once this Agreement is accepted
by the Initiative) solely for the purpose
of identifying themselves as supporters of
the Initiative, but such use shall be subject
to compliance with the "LOGO AND WORD
MARK GUIDE" which may be viewed by
clicking on the following link: Download the Logo and Word Mark Guide (1MB .pdf file). The Initiative shall, in kind,
have the right to include Applicant’s
name and logo in any lists of Members published
by the Initiative and to announce that Member
has joined the Initiative.
The parties understand and agree that Article 16 of the Bylaws applies only to members of Work Groups. As an Affiliate Member, Applicant is not eligible to be a voting member of a Work Group and as such, Article 16 does not apply to Applicant.
Limitations, Interpretation and Intent. Notwithstanding anything to the contrary contained herein or in the Organizational Documents, the parties understand, intend and agree that any commitment, requirement or other obligation on the part of Applicant to purchase or implement any computers, servers, power management tools, or any other systems or products: 1) is limited to future purchase(s) and future activities by Applicant and does not apply to any other unit of the Applicant’s college or university system; and 2) is not mandatory but, strives to implement the recommendation as a core element of Climate Savers Computing Initiative membership.
Acceptance.
You will receive electronic confirmation
of the Initiative’s acceptance
or rejection of this Agreement. Please
keep a copy of that confirmation for
your records.
